Yvette Austin Smith Presented at the American Bar Association’s 20th Annual National Institute on Negotiating Business Acquisitions

Brattle principal Yvette Austin Smith served as a member of the teaching faculty for the American Bar Association’s (ABA) “20th Annual National Institute on Negotiating Business Acquisitions,” that took place November 12-13, 2015 in South Beach, FL.

The program featured panelists nationally known for their work in mergers & acquisitions who discussed many facets of the acquisitions process, including techniques used in structuring and negotiating M&A deals, the tax and securities law aspects of business acquisitions, and the impact of legal and regulatory issues and developments on M&A transactions.

Ms. Austin Smith was a panelist for the session “Valuation and Purchase Price-Related Issues,” which addressed various issues that may arise in the valuation of acquisition targets and in determining the final price and pricing structure for an acquisition. Ms. Austin Smith and her co-panelists discussed the metrics and techniques used in valuing companies, as well as “earn-out” pricing structures and post-closing price adjustment mechanisms.
